M&As this week: Vanet Gida Sanayi Ic ve Dis Ticaret, Primary Opinion, C&S Wholesale Grocers

Turkey-based Vanet Gida Sanayi Ic ve Dis Ticaret has initiated talks with bus terminal operator Avrasya Terminal Isletmeleri to acquire food product company Bostan Tarim Urunleri Seracilik Ve Gida Sanayi Ticaret.

Vanet Gida specialises in processing of meat and poultry, and offers a variety of products such as veal, lamb and turkey carcasses, salami, sausages, cured spiced beef, ham and tripe.

Primary Opinion, formerly Jumbuck Entertainment, has announced an agreement to purchase a 48% equity stake in Maggie Beer Products (MBP), which aims to expand its business in the food and beverage sector. The deal is subject to shareholder approval and is expected to be completed by the end of June.

The A$15m ($11.02m) acquisition will see the transfer of MBP’s existing shares and the issuance of new shares to Primary Opinion, a digital content marketing platform and services provider.

Maggie Beer Products will transfer existing shares and issue new shares to Primary Opinion, according to the terms of the acquisition. The founder of Maggie Beer Products and her associates will receive A$5m ($3.67m) for the sale of their stake in the company.

Primary Opinion also intends to raise A$25m ($18.36m) to invest in Maggie Beer Products and its array of offerings, including paste, pate, ice cream, ice cream sticks, non-alcoholic sparkling beverages, soups, stocks, jams and verjuice.

Davidson Specialty Foods will be acquired by C&S Wholesale Grocers under a recently signed agreement.

Expected to be completed in June, the sale will see Davidson Specialty Foods continuing as an independent company headed by its current owners Bob Rowe and Jim Rowe.

The biggest wholesale grocery supplier in the US, C&S Wholesale Grocers plans to enhance its offerings through the transaction.

Inner Mongolia Fuyuan Farming, a leading Chinese dairy farming company, will acquire a 79% stake in Australia-based Burra Foods. The transaction is subject to approval from the Foreign Investment Review Board (FIRB).

Under the terms of the transaction, Burra Foods will continue to be managed by its founder Grant Crothers, while a 21% stake of Japan’s ITOCHU Corporation and Grant Crothers in the company will remain intact.
